Its sole member is a Maltese holding company, in turn owned by an EU-resident individual. The LLC runs an online digital media and education business, with no US office or staff but mostly US-based suppliers (payments, ads, freelancers, hosting). The individual owner recently transferred website and IP assets into the LLC, recorded as an intercompany payable rather than cash, and separately provides monthly services for a fixed fee. A US attorney has already prepared a governance memorandum on the New Mexico entity-law side. It does not opine on the US tax questions and refers them to a tax specialist. I will share it under NDA to define scope precisely. WHAT I NEED A clear written memorandum, with conclusions and reasoning, covering: Entity classification: confirm foreign-owned disregarded-entity status and its consequences, and whether any election (e.g. to be taxed as a corporation) is advisable. Form 5472 / pro forma 1120: filing obligations, reportable transactions, deadlines, penalties; whether the asset transfer, the intercompany loan, and the monthly service payments are captured correctly. We want the website to feel warm, premium, timeless and understated, rather than like a typical children's store. We are currently finalising our professional brand guidelines, which will shortly include our: Logo files Brand colours / HEX codes Fonts Logo usage General visual direction The website therefore needs to be built around these guidelines once supplied. Website Requirements We would like the Shopify website fully set up and ready for us to add stock and begin trading. Key sections/pages should include: Homepage Shop Home category Children category Gifts category Seasonal category Our Story / About Us Contact Us Newsletter sign-up Customer account / basket / checkout Standard policy/footer links We would also like the ability to create additional collections and subcategories as the business grows. Product Management This is particularly important to us. Once the website has been handed over, we need to be able to easily manage it ourselves without relying on a developer every time something changes. We need to be able to easily: Add new products Remove products Mark products as sold out Edit descriptions Change pricing Add or remove product photographs Move products between categories/collections Create new collections Feature particular products on the homepage Add seasonal ranges Change homepage banners/images where required Please build the site with this in mind and provide a straightforward Shopify setup. Marketing Features We would like: Newsletter/email sign-up section Ability to offer a welcome discount for newsletter subscribers Discount code functionality Promotional banners where required Featured collections/products Sale functionality Social media links Basic email marketing integration if appropriate We would also welcome recommendations for a simple email/newsletter solution that integrates well with Shopify. Design Style The visual appearance is extremely important. We want something that feels: Classy, clean, warm, premium, family-led and timeless. There should be plenty of white/neutral space and the products should be allowed to stand out. We do not want the website to feel: Overly busy Childish Like a generic dropshipping website Template-heavy Over-designed Although children's products are part of the range, All Our Days is intended to be a wider lifestyle brand covering Home, Children and Gifts. We can provide our brand story and full brand guidelines once complete. Mobile & Technical Requirements The website must: Look excellent on desktop and mobile Be fully responsive Be quick and simple to navigate Use Shopify's standard backend wherever possible Allow us to edit the majority of website content ourselves Be set up using good SEO basics Have appropriate product, collection and page structures Be ready to connect to our domain Be ready for UK online sales We would prefer to avoid lots of unnecessary paid apps and ongoing monthly costs unless there is a genuine benefit. Handover As part of the project, we would like a basic handover showing us how to: Add products Create collections Edit homepage sections Add discount codes Change images/content Manage orders Update stock Manage newsletter/customer sign-ups A short screen-recorded walkthrough would be ideal.
