We need assistance drafting an IR35 compliant B2B contract. We are a recruitment agency engaging a consultant operating through their limited company to deliver services to one of our clients on an outside IR35 basis. The agreement will include a Statement of Work with defined deliverables, a rate of pay, and will operate on a time and materials basis. It must also include some protection to avoid the contractor from going to work directly for the end client once they have signed this for a period of time and other clauses to offer us as the agency and broker some kind of protection.
