Legal joint venture agreement for property development
Hi, I need a legal advice, review and amend a joint venture agreement for property development between the property owner and the builder. require expert legal assistance in drafting and reviewing a joint venture agreement pertaining to a commercial property development project. The agreement will be between the owning entity of a property and a construction firm for developing the land parcel into a commercial complex. Key aspects to be covered in the agreement include respective roles and responsibilities of each party, financial investment obligations, profit sharing ratios, arbitration clauses for dispute resolution, termination conditions etc. The initial draft of the agreement has been prepared but requires a thorough legal vetting to ensure all regulatory compliances are met and rights of both entities are well-protected. The reviewing attorney should examine the draft closely, suggest modifications wherever necessary and provide an updated version addressing any gaps or inconsistencies.

Extract fast data from purchased software or crack westernpips
Good night friend, how have you been? I wanted to ask you if you could help me with another job. This time it is with a program called westernpips (https://m.westernpips.com/index.html). This program uses the arbitration strategy. explanation: I got the cracked program, but I soon realized that for it to work I needed to hire fast data, but not just any program works. And the creators of the software (westernpips) only sell the data to customers. So, I had to buy the program. At this time the program works, but I do not have any license serial number or fast data, since they installed everything directly on the vps. So what I wanted to ask you is the following: Can this information be extracted? I think it is in one of the DLLs? Or by cracking the program (the one they installed) could we have everything working fully? I ask this of you, because you are the most qualified person and I have complete confidence in you. Do you think you can help me? How much would it cost? download: https://drive.google.com/file/d/1fublUY79_s7lcLji0MXJfUOMOXNoyk9o/view?usp=sharing

Arbitration and complaining RIBA are usless
I have recently received a arbitration decision which wasn’t as i expected , i only received 25% of what we claimed , however even though when i filed the claim to the RIBA i was asked about fees and said 50/50 between us and the client the adjudicator has awarded me to pay the whole fee £6k which i believe is unfair and not right. I wish to bring this to the attention of the adjudication panel of the RIBA and need this put in legal speak

Arbitrage Automated program
I want a multiple point Arbitrage Crypto Bot that is connected directly to the Blockchain and looks for arbitrage opportunities inside of the individual Blockchain and does NOT need to pass through any exchanges. I have the foundation of a basic format of an arbitrage bot as an example that was open source and runs through a Java script html format. Adjustments that need to be made are, making sure the bot connects directly to the Blockchain and not the exchange among others. This is much simpler way to connect to the blockchain, than connecting to an exchange. The bot I want: I want this arbitrage bot to have a Flashloan feature of 10,000-1 Million Dollars. What will make this arbitrage bot different from others, is that I want it to scan for multiple types of arbitrage and pick the most favorable arbitrage opportunity that it finds. I want it to scan for : Regular Arbitrages (2 point arbitrages), & Triangular arbitrage (3 point arbitrages), & quadriga arbitrage (4 point arbitrages), & pentriga arbitrage (5 point arbitrages), & hexriga arbitrage (6 point arbitrages), & heptariga arbitrage (7 point arbitrages), This is basic Foundation of an Arbitrage Bot can be found here: https://github.com/FireFlyRepo/DEX-Triangular-Arbitrage- Bot-with-JavaScript-v5 Example Video that explains the Type of direct, Truly decentralized Direct Arbitration connection to the Blockchain: https://youtu.be/YHW-4SRVsQU Main points I need the completed product to hit: * Must run directly from My trust Wallet or other Cold Wallet. * Constantly Search individual Blockchains for multi point arbitrages. Whichever opportunities are most favorable for profit. * I would like the bot to focus on all the crypto currencies with 24hr volumes of more than 50 Million USD dollars. Arbitrage opportunities. * I want you to Have Multiple blockchains connected to the bot in the same way. (So as to always have a first come first serve opportunity to Arbitrage.....reason…....if one exchange doesn't present an opportunity, then another might) * Must Run Smoothly

Finish SAAS Online Platform
We are creating a SAAS online business dispute resolution platform. Our customers are either organisations (arbitration institutions, mediation centres, adjudication appointing bodies) or individual dispute resolution practioners (arbitrators, mediators or adjudicators). The developer working on our platform has fallen ill and feels that he can no longer complete the work. This is a great pity because he has been doing excellent work and we are almost finished. We need a software developer to finish the project. We estimate there are maximum 10 working days left. The previous developer whilst ill is prepared to respond to questions by email to support the finishing of the project. Basic Specification • Responsive web design • Compatible with Chrome, Microsoft Edge and Safari • Operating System: Ubuntu 18.04 LTS • Database: MongoDB • Backend: NodeJS, OpenVidu (Video conferencing), • Frontend: Bootstrap, jQuery • The system based on Cassie Responsive Dashboard Template (http://preview.themeforest.net/item/cassie-responsive-dashboard-and-admin-html5-template/full_screen_preview/24369212?_ga=2.88062236.565874400.1579202479-1175418243.1569324453) • The project involves making changes to existing functionality and developing planned functionality that has not been started. Example tasks • Add the ability to change the language of labels by simply uploading a spreadsheet with the relevant label translations. You are not required to do the translations. • Add a trend reporting function. • Forgotten password function. • Keyword search within documents including PDFs. • The video conferencing (OpenVidu) is set up but needs additional work so people are displayed on the screen based on our requirements. There is a detailed document available for those people short listed for this project to make their final offer.

Arbitration contract report
We have a legal dispute with airbnb USA and we are currently in arbitration with them regarding the cancellation of all our rentals between march and June 2020 due to coronavirus. We believe that airbnb broke the terms of contract and we need to prove why. I believe this will heavily rely on contract law in the US and we are providing a report to the arbitrators. If you have experience in both contract law and in particular if you have come across this before then this might be for you!
Legal review of Start Up Ts&Cs
PongoPay is a FinTech start up company which allows construction businesses to take escrow style payments for job via the PongoPay mobile application. PongoPay is not an FCA authorised company and instead uses software provided by payment service provider MangoPay to facilitate transactions. The PongoPay app allows users to create "jobs" and outline terms of work in the app. PongoPay also provides mediation and can suggest arbitration if necessary should a job result in a dispute. Draft Terms and Conditions have been drawn up. These now need to be legally reviewed. There are around 30 pages of Ts&Cs to review.

UX/UI App to support Makers and Volunteer drivers
We are the proud designers and developers of the Last Mile Digital Platform©, a Delivery Logistics Platform for Corporates and Enterprises. We were on high-speed commercial take-off run when corona outbroke. Came to standstill and started to participate in Hackathons and the like to make life easier to all those who care and give making a difference. We need a super-simple, super-friendly UI/UX app design to support the effort of grandmas sewing masks in their homes, geeks 3D printing stuff at home and SMEs or bigger enterprises that pivot to unknown, often unrelated manufacture on which they don´t have an established supply chain. This is the workflow we see; your contributions will be highly appreciated. To register • Download the App. • Splash screen with a welcome message and role choice: Maker, Driver, or Maker&Driver. • Full name and ID document – Mandatory for everyone • Picture optional for maker, mandatory for Driver and Maker&Driver • Land and mobile phone (land mandatory for Maker, mobile mandatory for Driver and Maker&Driver) • Address for delivery, pick-up or car park. o Maker or Driver can have only one address o Maker&Driver MAY have only one for both or two different addresses • Address/es have to be geocoded and coordinates captured and sent. No need to show coordinates on screen. • If any of the addresses can´t be geocoded precisely, we need a “Get coordinates” button, with a clear message instructing the person to go to the nearest point where a car could stop or could be parked, and hit the button to capture the coordinates. • Capture Driver and Maker&Driver vehicle details: • Car brand, model, color, plate number, capacity To operate Makers • Will enter information on what they have (article, quantity, number of boxes, estimated dimensions and weight). • We have to set-up one or two daily cut-off times for their input, say 22:00 to pick up from 08:00 the following day and 14:00 to pick-up the same day from 16:00. • Choose a time window to pick-up the goods within the specified slots if there is good reason. By default, time window for 22:00 cut-off time will be 08:00 to 14:00 and for 14:00 cut-off time will be 16:00 to 20:00 • Choose the destination point from a drop-down list. We have to create a process to offer choices in a drop-down list. At first the list will have only a fixed destination. Drivers • Available start and end time for today (frozen) and next three days (editable). Accurate availability is essential to properly plan pick-ups and deliveries, we have to arbitrate a process by which every driver has to commit availability say latest at 21:00 of today for tomorrow, that becomes frozen. • It would be nice to alert/remind Drivers and Makers&Drivers some time before their availability time start. We will capture all that info, insert it into the Last Mile Digital Platform© and from that moment on will share pick-up and drop-off details on-demand through our WebApp, track and trace all vehicles, support drivers, use real-time GPS-based vehicle tracking to send arrival notifications to cargo or delivery facilities to eliminate drivers need to leave the cockpit, maintain social distance and avoid contagion opportunities. Fancy to put your best brains to work for good? Attached our WebApp look&feel, please make your design in harmony with that.

Selecting and download images from a repository of stock photos
We are looking for someone to select and download approximately 500 images from Adobe repository of stock photos. The login credentials to the relevant Adobe account will be provided to the successful candidate. We have a specific number of general categories in which we are looking for images. These categories are set out in the attached document. The principal current categories are (i) corporate, (ii) disputes, (iii) employment and pensions, (iv) tax and (v) brexit. Within these principal categories there are a number of sub-categories (see in italics in the attached document, e.g., “issues for directors”, “issues for shareholders”, “regulatory issues” etc.). We are looking for images that are relevant to these sub-categories (e.g. images that relate to civil fraud, images that relate to income tax, etc.). We have already selected some images that fall within each of these sub-categories (i.e. we have already selected some images that are relevant to “issues for directors”, “issues for shareholders”, “regulatory issues” etc.). We will send these images to the successful candidate, for his/her reference. Broadly, you will see that the look we are going for is to choose photos that have a sense of humour and slight hipster feel. However, we are conscious that it will not be possible to find images that perfectly fit the mould in every case (there are only so many images that make people think of capital gains tax) and the most important thing is that the images are broadly appropriate for the relevant categories and have a consistent feel, as between themselves. For the avoidance of doubt, please avoid images that could cause offense to users of the website (which is what this is intended for), that are derogatory to any type of person, that are violent or sexual, etc. Given that we would like you to download 500 photos and there are 25 sub-categories, we would like you to download 20 images for each sub-category. The images should be different from one another, i.e. you should avoid downloading multiple copies of the same image. Although we would like you to take care selecting the images, to ensure the best possible fit for the website, given the large number of images we do recommend that you spend no more than 5 minutes selecting each individual image. Once you have downloaded the images, please save them into individual folders named after the various sub-categories (e.g. the arbitration folder, the professional negligence folder, etc). Please then send these images back to us by email. In terms of time spent on this and timings generally, we should be grateful if you could spend approximately 20 hours on this task. We should also be grateful if you could aim to complete this task within the next 2 weeks. This task would suit a creative person, with a good eye for visuals and design. In the event that we are able to establish a good working relationship together, there is likely to be a very large amount of further work of this nature going, should you want it. I hope this task is clear from the above, but if you have any questions please do let me know.
Legal Research
Looking for someone to help me carry out some research in the field of Arbitration Law, primarily based in London and also to advise on the similarity of those rules in Manchester. Many thanks in advance.
Franchise agreement
i need a straight forward, 2 page max franchise agreement listed out all the terms and condition. need it quite urgently. points to be included in the franchise agreement: 1)Location/territory. The franchise agreement will designate the territory in which you will operate and outline any exclusivity rights you may have. 2)Operations. This section details how franchisees are expected to run their units. Training and ongoing support. Franchisors offer training and training programs for franchisees and their staff. Training may take place at corporate offices or out in the field. All ongoing administrative and technical support will also be outlined in the agreement. 3) Duration. The document will detail the length of the duration of the franchise agreement. 4) Franchise fee/investment. There will generally be an upfront initial franchise fee that grants the franchisee the right to use the franchisor's trademark and operating system. Those costs will be clearly outlined. 5) Royalties/ongoing fees. Here you will find the details of the franchisor's royalty structure. Most franchisors require franchisees to pay an ongoing royalty, usually a percentage of total sales, which is often paid on a monthly basis. 6) Trademark/patent/signage. This section will outline how a franchisee can use the franchisor's trademark, patent, logo and signage. 7) Advertising/marketing. The franchisor will reveal its advertising commitment and what fees franchisees are required to pay towards those costs. 8) Renewal rights/termination/cancellation policies. The franchise agreement will describe how the franchisee can be renewed or terminated. Some franchisors include an arbitration clause. This requires, in the event of any legal action, that an arbitrator review the case before it goes to court. 9) Exit strategies. Every franchise has its own resale policy. Some allow franchisees to sell their franchises at their discretion. Other agreements include buy back or right of first refusal clauses. These allow the franchisor to buy back the franchise at a rate determined by them or to match any potential buyer's offer. Franchisor duties (don't know whether it needs to be included in the agreement) but i want it short and simple, do not want like over 10 pages of documents.
