Outline & Structure: Hi,
I am taking over a pub business on 1st September. Instead of starting a new company, I am taking over the existing company, to carry over the goodwill.
I need a solicitor to write terms which I can use that as an agreement between the current outgoing owner and Myself.
The Deal between us:
1. She leaves the business on the 31st August & I take over the business from 1st September.
2. I am due to pay £9,000 of Inventory & stock, which I am paying £4,500 in advance and then £1,125 per calendar month until the balance is paid off.
3. From the 1st of sep, she will have nothing to do with the business, but she is liable to pay the suppliers, VAT, file returns, and any other payment the company owns.
4. Once all her payments are done, she will no longer be a Director of the company.
I need the terms written in such a way that she will be liable to any payments and outgoing until 31st August 2016 and if there is anything comes at the later stage.
I AM NOT LOOKING FOR A DETAILED AND COMPLICATED DOCUMENT, BUT A FAIRLY SIMPLE ONE WHICH CAN COVER ME IN CASE THERE ARE ANY LIABILITIES WHICH MAY COME LATER.
PREFERABLY LOOKING FOR A SOLICITOR IN THE UK
I need this document written asap, as I am hoping to sign by tomorrow 15th August. So a quick turn around is appreciated.
