I need two agreements between two companies I am a director of. This is to protect the companies.
One is a collaboration agreement in relation to us mutually offering discounts to each others customers.
Need someone skilled who can reflect the fact the transaction is arms length- clearly outlining the independence of each company within the collaboration.
Secondly is an agreement about sharing two freelancers. The companies have their own teams generally, but share two key admin team members who are freelancers undertaking admin. We want to define the terms of engagement between the two businesses regarding the shared use of freelancers. Explicitly state that the businesses are separate entities and that the agreement does not create a partnership, joint venture, employment relationship. Then something around confidentiality, no joint liability etc. Non compete and non solicitation.
