Hi
We need a revision of a software contract / IP agreement sent to us. Removing sections, making it smaller and less comprehensive is the target of this job.
The grounds,
A client of us never had any need for a contract or agreement, even after 2+ products (Apps) developed and many other smaller jobs. Now they need to have it in place as they are trying to get business investors. To do so, they need to prove that they have ownership of the products that we (the developers) created for them, making clear that we will not claim rights or anything later.
We are fine in doing so, but we need some protection. (e.g. in case they sell their company and we get locked not being able to use our technology in other clients products, etc.). We agree in not claiming ownership in any product we've build for them, but only covering the product itself!
Example:
One of their products "a hearing aid App" uses a sound-equaliser as part of the settings and preferences and other features commonly available elsewhere. We also use the same equaliser module we did in our own products like a radio App, few games, and even in other clients products too. In fact the equaliser itself uses components not only created by us, but also from other people like Apple, IBM, etc. as they offer bits of code for developers use in their work. So we want to be able to use this things and also we don't want to sign any guarantee that we didn't use anything from 3rd parties, as it would be unrealistic. We used free-lancers for design work, paid templates from the web for buttons and icons images, etc.
Basically we need to separate the products created (we let they own it fully) from all our raw materials, pieces of code and tools used to do, which can be from us or even other sources. Again, the product itself with its core functionality, any patent, rights, logo, brand, etc. we will respect, not copy, share and so on...
Here is the difficult bit, we also give them the code used to build the product and we let them free to use as they like, including using other developers, but we are only giving ownership on the "product created" and as plus the liberty of use the code.
