General information for the business: Organisation is a limited by guarantee UK company with 4 directors and 13 voting members.
Description of legal work: Due to a falling out with members and directors, one of the directors needs to be removed. An initial survey of members indicates the proposal has a strong support 8/13 votes are in support of removal, and one abstention, the other members having failed to indicate a preference as yet.
The director was asked to resign and replied, "as a matter of principle, I am contesting this". The director is not a paying member, so is not entitled to a vote at a general meeting, but I assume is entitled to make a representation.
I would like a Company law expert to explain the steps we need to take to do this by the book.
