Hello,
I am looking for advice and documents to be produced on the following. A successful bidder would need to work to a fixed price job with an understanding of what is required. Any questions please ask before you bid. I hope I have been clear enough to avoid any confusion.
Please have an understanding of the following:
UK Distance Selling Regulation
UK Sale of Goods Act
UK Trademark and IP Law
UK Copyright Law
UK Data Protection Law
General Legal advice:
Available are minutes of meetings and business reports explaining how the business works.
The original documents, some noted below, can be forwarded upon request; however, the nature and sensitivity of these documents is such that they will not be forwarded unless you are serious about the job and can prove experience in the related area.
Clarification on ownership of a brand.
Clarification on the viability of existing partners negating credence to my time investment.
Clarification on the viability of replacing the partners?
Documents needed:
1. Letter of Intent (currently 2,367 words, including appendix) This is a general letter stating the business relationship and how the group works together. Need it checked from a legal standpoint to ensure it is enforceable in a UK court of law.
2. Terms and Conditions of Purchase for a website (currently 2,958 words) Originally created by a solicitor but edited by non-legal staff over the last few years. Need to verify legality with UK Distance Selling Regulations and UK Sale of Goods Act. *Also need to add and make sure there is provision where products that are special order or built to order cannot be returned AND need to make sure this does not break the law.
3. Terms and Conditions of Use for a website (currently 1,120 words) Originally created by a solicitor but edited by non legal staff over the last few years. Need to make sure copyright protection has been covered to stop content being taken.
4. Privacy Policy/Statement (currently 966 words) Originally created by a solicitor but edited by non legal staff over the last few years. Need to make sure it is legal and respects the Data Protection laws.
5. Terms and Conditions of Purchase (currently 2,958 words) Originally created for a website but needs to be edited for UK Standard Distance Selling. Needs to cover distance selling regulations and UK Sales of Goods Act AND enabled to state that all orders are custom order so they are exempt from refunds (not sure how legal this is so if it's illegal I need to be informed). Also need to be able to say if a customer claims a product is faulty and returns it and upon inspection it turns out not to be faulty the client will be charged/invoiced maybe including a statement that if the invoice is not paid, debt recovery maybe be used. (Again, not sure how legal this is so need advice).
6. Profit Sharing Document (does not exist yet initial notes are available we can also offer general drafting support in this area if you need the assistance) Need advice on the legal aspect of this. I own a website and a brand. Can I create a document stating I own it, but to sell it requires 3 other authorisation signatures and the profit is split based on the investment into the brand/website?Need advice if this is legal. Might need to look into licensing. Have a fair amount of leeway here depending on the most legal and sensible perspective.
7. Commission Structure looking for a procedure into how to verify if partner commissions are being paid accurately. Full details can be forwarded upon request.
