We are a new luxury lifestyle marketing and distribution company. We are in the final stages of securing a small retail network with a select few third party shops, and would like to ensure that our contracts and T&Cs are formatted correctly and offer security and assurances for us, the brands we represent and the retailers.
We require FOUR documents, as follows...
1) Terms and Conditions of Sale : To apply to all trade accounts, whether they be professional users of our products or retailers.
2) Stockist Terms of Appointment : For retailers only, and each different collection or brand that we offer will have its own separate set of Terms of Appointment, as each will have different criteria and terms. For this brief, we only require suitable Terms of Appointment for ONE product range, a beauty and wellness collection. This document will need to stipulate conditions of both the brand itself, but also of us as the supplier.
3) A bespoke set of terms for a trial program : We are offering a select few retailers a trial program, with slightly bespoke terms to those in the standard Terms of Appointment. Conditions in these bespoke terms will either supersede or run in parallel to the the standard terms, as appropriate.
4) A document of variables : All conditions in the previous three documents will be fixed however we would like a fourth document that will stipulate variable conditions, such as margin, minimum order level, carriage paid level, etc.
In addition to the four documents, we will require a single agreement form that will draw all terms together to form a single contract.
Documents 1 and 2 have already been written in-house, so these would just need proofing, and amending as necessary.
Document 3 has been drafted, so this would just need formatting as appropriate, and amending as necessary.
Document 4 and the agreement form have not been drafted and so will need to be written from scratch.
Being a new company, there is likely to be an opportunity for ongoing work, as we secure new distributorship contracts, etc, if this is something you would be interested in. For this brief, however, you are bidding only for the work laid out above.
With all due respect, only properly legally qualified professionals (contract is subject to Laws of England and Wales) will be considered in the bidding process.
Thank you, and I look forward to hearing from you.
