I have copies of both our CC&Rs and our Bylaws and need a concise, attorney-level explanation of how quorum is calculated when members vote. The focus is exclusively on quorum requirements, covering both the initial quorum for a first-noticed meeting and any reduced or adjusted quorum that may apply if that first meeting fails to reach quorum.
Once you review the governing documents, I would like you to:
• Pinpoint every clause that addresses quorum in either document and quote the exact language.
• Explain, in plain English, the step-by-step math for determining the initial quorum and any subsequent quorum(s), noting differences between percentage-based and numeric thresholds if they exist.
• Clarify how proxies, absentee ballots, or other attendance substitutes influence the headcount, but only as they relate to meeting the quorum.
• Cite any applicable state statutes or case law that confirm or override the HOA documents, if such references are readily available.

1. A written memo (Word or PDF) that answers the above points clearly.
