Clean up HTML EMail Template

I have an HTML template (Attached) that has a few problems as follows:
1. It is using tables all over the freakin' place.
2. When I use it to send e-mails, the background images aren't working in some e-mail clients. I'm guessing I'm using some kind of depricated code for the background-image property but can't figure it out.
I'm guessing this is relatively simple but here is what I need:
1. Clean up the code to use divs and the like instead of tables, where possible.
2. Make sure that the code will work well on all sizes of screens from mobile to large screens. (I'm okay with the actual content being somewhat narrow like it currently is but it needs to look good on mobile devices...it currently does look pretty good.
3. Fix the issue with the background images not showing properly in e-mail clients such as Outlook Android phones, etc.
Note that there are a few variables in the text of the e-mail that are used in our e-mail system. Those variables will be replaced so they just need to be left in place, as-is.
