This is the scope of work:
We executed a Purchase Agreement in June to acquire a Quality Inn Hotel; located in Lincoln Nebraska through an Auction platform (Ten-x). Due to the seller inability to provide requested documentation, and disclose material facts; such as hidden legal liens on the hotel, our lender could not proceed with the financing. The seller has cancelled the PSA and insist on taking our deposit as well. We seek legal redress; first we need a stay order place on the property, secondly, we seek the refund of our deposit, and we damages of $300,00.00 to cover cost we incurred to contract a new brand; Wyndham, hire a hotel management firm, and hire a contractor to do an assessment and BOQ.
You are to draft two letters; one to the title company asking the title company to refund our $50,000.00 USD immediately due to non performance on the part of the seller, and instructing the title company not release the money to the seller. The second letter is response to the seller, seeking specific performance and payment of damages caused by his action.
