We are looking for an experienced UK-qualified solicitor or commercial lawyer to assist us with reviewing, negotiating, and finalising a technology partnership agreement on our behalf.
The engagement involves reviewing an existing proposed agreement with a third party, advising us on potential legal risks, negotiating key terms where necessary, and ensuring the final contract is structured to protect our commercial interests and minimise future disputes.
The most important aspect of this transaction is ensuring that the agreement clearly captures all aspects of the partnership, protects us against potential future claims, and is legally enforceable and commercially balanced.
Scope of Work:
Review an existing agreement and identify potential risks or problematic clauses
Advise whether the contract is safe to sign
Suggest amendments to strengthen our legal and commercial position
Negotiate terms with the other party where necessary
Draft or revise the agreement to ensure it protects our interests
Ensure the agreement clearly reflects the technology partnership structure
Additional Requirement:
This agreement involves a US-based technology company and their legal representatives. The selected solicitor may need to negotiate directly with the US company and its law firm on behalf of our company and investor, ensuring the final agreement is fair and properly structured.
Experience handling cross-border technology or partnership agreements would be highly beneficial.
Timeline:
This matter is urgent, and the technology partnership needs to be reviewed, negotiated, and finalised within approximately 3–5 days.
