I need help in drafting a software reseller agreement

I'm in a software company and I'm entering in a reselling agreement to bundle our software with another company software which will take care of distribution.

I need a contract to be made detailing the agreed pricing, terms, non competition agreement, liabilities and so on.

I'll provide further details as required.

Once the first draft is made the contract will be sent to the other party for review and I expect a bit of back and forth before things are finalized and I'd need assistance until the contract is signed.

The contract is between my company (based in Italy) and another company (based in the US).

I'd need the first draft completed by Wed if possible.
