We are a small UK-based startup web agency. although we have our own full time staff, some times we work with contractors (service providers) who deliver white-label solutions for us. We agree on a cost price with them, add a markup, and then sell the services to our clients.
We are looking for a generic B2B contract that can be tailored as needed. To start, we would like a contract specifically for SEO service providers. We already have an NDA that we can get them to sign, but we need a B2B contract that includes the following key points (and any others as you see fit)
Non-Solicitation: Service providers must not contact or poach our clients without our permission.
Confidentiality: They must not discuss anything with the client without our approval, particularly regarding the cost price agreed with Web Ladder, as we apply a markup for our profit.
Regulatory Compliance: Any additional legal considerations you deem necessary.
Performance & Deliverables: We require a six-month roadmap, deliverables, and KPIs to track progress. If the service provider fails to meet these expectations, we reserve the right to withhold payment and terminate the contract.
Additionally, we’d like this contract to be adaptable for other service providers, such as graphic designers, web developers, etc in the future.
