Description
Experience Level: Expert
I am an independent creator preparing to launch S11RF, a small UK-based experimental digital-asset venture intended to make original digital assets available to customers internationally.
I am seeking an England & Wales qualified solicitor with relevant experience in commercial contracts, copyright/IP licensing and digital/ecommerce matters to review two substantially completed documents:
• Digital Asset Licence Agreement — approximately 3,200 words / 8 pages, covering a three-tier licensing structure across personal, professional/client and commercial-product use.
• Terms of Sale — approximately 4,300 words / 15 pages, covering ordering, payment, digital delivery, consumer cancellation/refund matters and related transaction terms.
The documents are designed to operate together and have been developed by me with extensive AI-assisted drafting, iterative review and scenario testing. They have not yet received professional legal review.
I am not seeking drafting from scratch. I require an independent review of the existing documents under the law of England & Wales, including:
• material legal issues or potentially unenforceable provisions;
• material omissions;
• consistency between the two documents;
• suitability of the licensing structure for copyright/digital assets;
• relevant UK consumer/digital-content issues within the Terms of Sale;
• tracked amendments/redlining where changes are required; and
• brief explanations/comments where appropriate.
The business will be UK-based but assets are intended to be supplied internationally. I am not seeking legal advice covering every customer jurisdiction; the review should be based primarily on the law of England & Wales, with any obvious issues arising from international supply flagged where relevant.
Please include in your proposal:
1. Your current England & Wales solicitor qualification and SRA number.
2. Brief details of directly relevant IP/copyright licensing, commercial contract and digital/ecommerce experience.
3. Confirmation that you will personally undertake the review.
4. Your fixed price for reviewing both documents.
5. Exactly what the fixed price includes — particularly tracked amendments, clean copies, written comments/explanations, follow-up questions and whether a final pass/recheck after amendments is included.
6. Expected turnaround.
The documents can be supplied privately to the selected solicitor.

You dont need a SRA Solicitror to do this job. Legal Executives(CILEX members), aree going to be regulated by the SRA in ther near future, and are more than capable fo doing this work. Most Solicitors will simply glaze over even looking at the title of the documents, let alone be able to understand them.
