Alliance Contract

We are a small consulting firm that often works on large projects. To be able to resource large projects, we have formed alliance with a few other consulting companies like ours. I want to put a contract in place which establishes this alliance. Things that I can think of are:
- Clause to restrict ally from working directly with the customer for x months after finishing any project.
- Clause to ensure that they dont misuse the name of my organization in anyway
- Clause to pass on any liability that arises due to poor work on their part i.e. passing on professional indemnity liability
