We need help listing our Terms and Conditions of sale. We are a software & service provider selling software provided by a vendor. Once sold we then implement, customise, provide training and ongoing support for the software. We sell to businesses and the software is for use by sales, marketing and customer service and generally becomes a can't live without item. We need some simple (not ream's of small print) term's of sale stating simply what we are and are not responsible for. Some of point's we need including are: Customer must pay for software and maintenance up front unless otherwise agreed in writing. If a discount to the services has been applied and it is not payed for within in the 30 day payment terms we reserve the right to invoice for the full amount of the discount. Where payment is not made in a timely manner GBS reserve the right to withhold all services and support whether payed for or not. It is the customers responsibility to ensure the hardware is fit for use, meet's the minimum specicifation as stated in the proposal and if for any reason the software does not work on the hardware it is the customers responsibility to provide an alternative. It is the customers responsibility to ensure a regular backup is taken of the database and software. Where remote access to the servers and software is not provided GBS cannot be responsible for the length of time it takes to resolve any problems. NB There is also a small list of points regarding what is and is not included in the support contract that I will provide on request. There may be other points we need including and also we are open to suggestions.
