General information for the business: We source building firms to provide quotes for members of the public.
Description of legal work: Introducer Agreement:
I need an introducer agreement for the firms to sign when they wish to join our panel.
This agreement needs to be readable but provide the necessary rules and protection for our relationship with the builders, their conduct with our clients and ensure we are paid our introduction fee etc.
Terms of Service and/or Disclaimer:
In addition we do not want a situation where the builder is a sub-contactor. As in we do not wish to be responsible for their work. We have merely introduced the builder to the client and have been paid an introducer fee. -
This may require a something in the Introducer Agreement and Terms of Service a Disclaimer
Extra notes: Contact is generally made with the clients via telephone and email.
Some possible conduct rules:
- Treat customers fairly
- Be polite and respectful
- No further contact with customer if told not to by us
- etc
Payment & Introduction fees:
- I think we want a standard intro fee stipulated but one that can be changed with agreement.
- The standard intro fee will be: first £5000 @ 5%, amount above £5,000 @ 2.5%
- The amount is the total charged to client including materials and labour (but before VAT)
- The amount should include any follow on business that builder gets with client for a specified reasonable period
- Want payment at point when builder wins business (not at end of contract)
- Encourage prompt payment
- Manage dishonesty by builder:
- pretending didn't get contract, or
- lying about value of contract - either on own or conspiring with client, or
- passing sales lead to associated company
