Estimated project duration: 1 - 2 weeks
An already established pre-revenue company (EXISTCO) will receive £x amount of investment from new investors in return for x% of shares.
The existing shareholders of EXISTCO will each loan £x to EXISTCO on an unsecured, interest free basis.
EXISTCO and its shareholders will assign any IPR they own to a new company (IP Co) and pledge any current and future ideas for commercial exploitation (in the same sector) which will be owned x% by new investors, and x% by EXISTCO shareholders
New investors want to put in place a shareholders agreement / articles of association which set out the agreed position in relation to the ownership, management, finances and control of EXISTCO
Scope of Work:
1. Preliminary work
Reading in, review of background documents, preparation of outline terms for the investment agreement, and attendance on a call to review + discuss the terms. Update the outline terms to reflect any comments. This would cover discussions in relation to both EXISTCO and IP Co.
2. Drafting shareholders’ agreement and related work for EXISTCO
3. Articles of association for EXISTCO
4. Transfer of IP & New Ideas to IP Co
IP transfer & New Ideas transfer could be dealt with in the shareholders agreement in a clause or schedule dedicated to that particular purpose. Perhaps need a separate IP assignment?
5. Administrative support
Drafting board and members’ resolutions for the share issues and adoption of articles; preparing share certificates, Companies House forms / filings etc.
6. Documentation for IP Co
7. Secure advance-assurance EIS status for EXISTCO for the benefit of the new investors.
