Chinese NNN (non-disclosure, non-use, non-circumvention) agreement template

Description of legal work: We need a Non-disclosure/Non-use/Non-circumvention agreement for use with our manufacturers and potential suppliers in China. Our business is focused on convertible canvas tote bags. The agreement needs to be written with reference to Chinese law (and court system) and cover all necessary requirements and protection consideration, particularly:

1. Prevent the distribution of our IP to 3rd parties.

2. Prevent a supplier from using our IP for any purpose other than manufacturing the product in question for us (and only us).

3. Prevent a supplier from selling direct to our clients.

The agreement needs to be editable, hence use with potential suppliers, and written in English and Chinese.
