I will work from the information and instructions you provide and prepare a structured set of Heads of Terms recording the key commercial points that the parties need to agree before moving to formal documentation.
Depending on the nature of the transaction, this may address the parties, the proposed transaction or arrangement, commercial terms, responsibilities and obligations, payment or consideration, conditions, timescales, confidentiality, exclusivity, costs, conditions precedent and other important matters that should be addressed at the Heads of Terms stage.
I will identify obvious gaps or points requiring clarification as part of the preparation and ensure that the document clearly records the commercial position based on the information provided.
This Offer is for the preparation of Heads of Terms only. It does not include drafting or negotiating the subsequent sale agreement, investment agreement, shareholders' agreement, partnership agreement, commercial contract or other formal legal documentation.
It also does not include extensive negotiation with the other party, representation in a transaction, specialist tax or regulatory advice, or work on multiple separate transactions.
If the proposed arrangement is particularly complex or requires specialist regulated advice, I will identify this before undertaking work outside the scope of this Offer.
What the Freelancer needs to start the work
Please provide a clear explanation of the proposed transaction or business arrangement, including who the parties are, what is being agreed and the commercial terms you have already discussed. Please provide any existing correspondence, proposals, draft terms, term sheets or other documents relevant to the transaction.
Please identify the principal points that have already been agreed, any matters that remain open or subject to negotiation, and any particular provisions you want included in the Heads of Terms. Please also provide any relevant deadline or proposed transaction timetable.
Please confirm whether the Heads of Terms are intended to be binding, non-binding, or partly binding, if this has already been discussed between the parties.
