Description of legal work: Within the research industry, there is an initiative called Open Access, whereby any articles based on research funded by governments are to be freely available to the public.

JournalClick Ltd is in process of building a directory (database) of all Open Access articles, and will build and sell three SaaS products:

1) on the list of articles (when a person searches for what they are looking for), there is an option for the publisher that owns the delivery platform (where the articles are kept and delivered) to pay an annual fee and then their company logo and link will appear next to the article. All articles we will show are Open Access, therefore freely available to the public. If they do not pay, any article we show our public (to be accessed if needed) will still show, but without the logo and link.
2) We will sell, to individuals, an additional value set of features, called the JournalClick dashboard, on top of the free service (free service is the search and showing and access of the articles from our database). We will not host the articles, rather we will use their URL to link to it. I can send these features if needed. This will be an annual subscription. The user can and will modify their dashboard to their personalized needs.
3. As above, we will sell the same dashboard, to organizations, for them to allow their users access to both personalized dashboard and an organizational dashboard.

Need a Terms of Service applicable for the site, for publishers subscribing to the annual advertisement fee, for individuals for subscribing to the service and for organizations subscribing.
