Prepare license agreement and NDA document

This job was previously awarded to a Freelancer that I have since lost touch with and the work has not been completed. I am looking to get this done asap.
My business is looking for Agents to help grow the Business. I need an agreement that sets out the conditions of the Agency, the dos the donts and what ifs.
Agents pay a small fee in order to set the agency up ie to set up email addresses, business cards etc and this fee is repaid back to them once they start to earn money from the company. I have a registered TM.
Looking to protect myself more than anything and ensure that things are done properly. This may sound a bit vague but anyone familiar with Utilities Warehouse of Forever Living will have an idea of the business model. Sales Nation rewards its members for referring Friends and Family to our client businesses. The Agents will fill the void between the Sales Nation and its members and earnings are based on the earnings of the members that they recruit. I will answer any and all questions in order to simlify this a well as possible.
