Description
Experience Level: Expert
I require 2 legal documents amending/editing. The documents are solicitor-drafted templates and downloaded from a well-known legal document website. They cover much of what we need, but require additional clauses and editing for our specific circumstances.
---
Document 1 - Assignment of Copyright
The first document covers the agreement between our company (film production) and an artist demonstrating instructional content on camera. The artist, in return for a one-off fee, assigns full copyright to the film footage.
However, there are some rights the artist needs to retain (i.e. right to perform the demonstration in public, rights to physical work produced on camera) and there are some restrictions on us (i.e. we can only use the footage online, we can't make prints or t-shorts of the physical work).
---
Document 2 - Royalty Agreement
In some cases, but not all, the footage created under the agreement in Document 1 will go on to be used to produce DVDs (we act as the publisher), whilst still being used online.
This document will act as an adendum to Document 1 *if* we decide to produce DVDs at some point. It sets out a royalty agreement in such a case - whereby we pay an artist royalties after first deducting them from the one-off fee paid in Document 1.
The downloaded template is a publisher-author agreement and contains much of what we need, however it's for books rather than DVDs and contains clauses and sub-clauses that are redundant.
---
I will provide a bullet-pointed list of what each document should cover (in terms of unique restrictions / limited rights etc). I'll also upload the templates documents.
The documents should be delivered in a form that is easy and obvious to edit (with respect to any numbers and dates i.e. monetary sums, royalty percentages etc).
Although I've never used People Per Hour before, I'm an extensive user of elance and so you can expect timely responses to questions, prompt payment and glowing, well-written feedback (assuming the project runs reasonably smoothly!).
Ideally, you should be able to produce these documents within 7 days of being awarded the project.
I look forward to reviewing your bid :)
Phil.
