Create A Reseller Agreement

I am based in the UK. I wish to sell my hardware and software through distributirs abroad and already have some interest in a number of countries. I require a reseller agreement that I can use for these resellers. The agreement will need to cover such things as, resellers signing resellers of their own, industry exclusivity (if required) reseller annual renewal etc. A full specification document will be available in the next couple of days.
