Memorandum for Private Placement of Shares - UK

We are about to set up a limited liability company in the United Kingdom with a share capital of £5 million. The main business activity of the firm would be to provide equity investment and loans to Microfinance institutions in Sub-Saharan Africa. We are also planning to establish a stand alone institutions as we develop. There are going to be four main shareholders, and these are going to be made up of international institutions. The paid up share capital would be £1million in the 1st year of operation. We are looking for a consultant to put together a memorandum for us on this, with a five year business plan. We have papers on this that would be usefull to the consultant chosen.
