Written up legal contract

Need a legal contract written up, going into business 50/50. 10 points needed for contract, as per below. Need asap.

1. A new Ltd company is to be set up with a 50 %u2013 50 split between us and yourself.

2. The rent deposit will be split accordingly. 6 months deposit = £29,000 split 50% = £14.5 k from each party.

3. The agreement will be reviewed after a 12 month period, whereby we have the option of buying yourself out for a set agreed price e.g £375,000

4. An option for Lost Society to buy your shares before 12 months has expired at the previously agreed price.

5. Any profit realised during the agreement will be split equally between both parties (50-50).

6. A refurb to take place in the New Year, approx 3-4 weeks shut down.

7. Up to 25k of the refurb is to be taken off your asking price, with 5% of refurb cost coming off the asking price per month (depreciation).

8. The total refurbishment costs will be paid upfront by ourselves.

9. There shall be a new name agreed upon replacing Dusk.

10. A monthly meeting will take place between ourselves and a representative appointed by you.
