Software Intellectual contract/property agreement and advise

Software contract: Client direct contacts/deals with our Technology partners.

We usually don\'t allow our technology partners directly getting involved with the payments but this time one of our clients has demanded to deal directly with our partners who are based in UK. They have offices in India.

Questions:
What rights we have to get the payments from the technology partners as the client will be paying them directly.
How can we protect all future projects from the client going directly to them.
What if the service provided by technology partner is not good then how do we secure our contract and get payments from them.
What if things go pear shape with our technology partner, where do we stand?
We don\'t want our technology partner revealing financial information to our client.

We want all above covered in an agreement which the Technology partners should sign.

I am looking for someone who has expertise in the software contracts and protecting intellectual rights. As this is my first experience in such situation I need bomb proof agreement covering other areas that I am surely missing at this time. It\'s quite urgent.
