Review agreement for software ownership and business continuity.

Hi,

I run a software (specialising in business applications) company.

We developed a business application for a customer who has asked us to document software ownership rights (so they can continue using the application if we cease trading, are unable to fulfill out duties or they wish to leave for any other reason) and to put in place an appropriate level of business continuity provision/planning that would allow another ERP company.

I am more than happy to confirm this in writing and I have had a call with our customer and their solicitor who are happy for me to document what has been discussed/agreed in an informal agreement which they have said I can write.

I have approx 2 A4 pages of text, just looking for someone to give it the once over, make sure I am not setting myself up for a fall/I haven't overlooked something that could bite me later and possibly tidy up the wording if there is a better way or writing any parts of the agreement.
