NNN Agreement for China & Other countries

Description of legal work: Hi, I am looking for someone with a legal background to draft a Non-disclosure/Non-use/Non-circumvention Agreement to use with potential manufacturers in China and other countries. It needs to be written with reference to Chinese law (and court system) and I would also like another version to use with manufacturers in other countries. It should:

1. Prevent the disclosure of my IP to 3rd parties

2. Prevent a supplier from using my IP for any purpose other than providing costings and manufacturing the product in question for me (and only me).

3. Protect any product developments/changes through the protocol stage

4. Include a term of 10 years

5. Should state that the liquidated damages are an agreed monetary fine for any breach of the agreement.

I need to be able to make slight edits such as changing the supplier name so I can re-use the document (for the same product) but for different suppliers.
