Legal frame agreement (UK law) to develop a new mobile App

I need a freelance UK lawyer to draft a simple frame agreement between a private hospital group providing services to the NHS with its own hospitals (party 1) and a developer/service provider (party 2) whereby a branded mobile app for hospital staff is developed at no cost to Party 1 by Party 2 in return for Party 1's testing, usage and promoting the app to other hospitals within the NHS and to assist in securing a longterm agreement with its NHS Trust. The frame agreement would clarify that IP in the app remains with Party 2 and that the agreement concerns the testing, development and launching of the product. For the ongoing running of the app, there would be a free period afterwhich party 2 would charge Party 1 a fixed fee per user per month. Mutual confidentiality clauses would be included.

I am looking for a fixed price which includes feedback to arrive at the final draft to be sent to Party 1 and would also include 3 iterations - changes to the agreement following feedback from Party 1.
