General information for the business: Start up business; running fitness camps/breaks in interesting locations globally; no permanent locations as it will be 2-4 weeks in each location; contract only staff to begin with
Description of legal work: I already have a limited company which I use to contract through so I'm familiar with registering and setting up a company in the UK.
However, this is a different type of business using venues and resources outside of the UK. I plan to set up a separate company for this business and I need to determine what I need to have in place to run the business.
Background:
- I am a UK national and live in the UK
- I will be UK based and advertising in UK so mainly UK clients although they can come from any country
- The fitness holidays/camps will be held in various countries abroad (none planned for the UK)
- Countries will be Ghana, Zambia, South Africa, Morocco and Israel to begin with, potentially rolling out to other locations in the future
- The fitness breaks will run for a few weeks in each location each year (preferably returning to the same locations and hotels every year)
- Local amenities will be used (so hotels etc for venue)
- Resource will be a mix of UK contract staff and also local staff on a contract basis
What do I need to have in place to set up and run this business? Eg:
(1) Structure - what is the best legal/tax structure (assume a UK registered limited company?)
(2) Contracts - what contracts need to be in place? Do I need one for each of the contract/temp staff? Also a customer agreement? Other?
(3) Do I need disclaimers - to protect against illness in the country, travel, etc?
(4) What are the tax implications? Am I liable to pay tax in these countries as well as in the UK or UK only?
(5) Must I register with any bodies to run this business?
(6) Anything else I need to consider?
Extra notes: Essentially I am looking for a list of the legal and tax deliverables I'd need to have in place to run this business - plus all considerations and potential stumbling blocks. Many thanks.
