Hi All,
We are about to negotiate with a manufacturer of a product we sell to the end users. We were about to build our own manufacturing plant of the product however we were approached by the competitor so we can work together instead of having 2 plants operating in the same location.
We will use their plant to produce the product or they will produce for us at a huge discount. The bottom line is, we will share their manufacturing plant since they have huge capacity.
We need to draft a contract which protect us in the agreement. The agreement has to be fair on both sides and it must be very difficult to cancel or not to comply. This is the key points in the contract:
1. The notice to cancel the agreement has to be at least 12 months
2. There has to be huge financial penalties if they decide to cancel the contract and we fail to supply the customers
3. They can not over charge us, prices will be reviewed every 6 months but they can not charge us above 1 Pound from cost
4. There must be clear transparency from both sides, profit has to be equal for both parties
5. The Manufacturing plant will be neutral for both companies.
6. The price increase will be capped so they dont increase prices as when they feel like it.
7. Our company will produce the product on the different location and same pricing terms will apply, we will study the market before deciding the location but it will be on the coast.
8. They will produce for our company and we will produce fr their company on same pricing terms
9. We will divide the country into zones, they will be responsible for specific area and we will be responsible for specific area.
10. Product quality can not be compromised by either party. If product quality is compromised, the other party will be liable to pay compensation.
11. All product will have seals to reduce risk of contamination and tempering
12. Both companies will work together to reduce operational costs and buy raw materials from same suppliers
13. Both companies will buy packaging from same suppliers on one account to reduce costs
14. The product must be produced within 24 hours after sending the order, failure to do so should results in a penalty.
15, I must have access to the facilities in case I have to show my customers the plant.
I am looking to create a strong agreement which will be difficult to breach and if they breach it, there will be consequences in terms of compensations. We do not want them to cancel the contract over night or vice versa as we want to build long term relationship with them. The contract has to be well written to avoid any misunderstanding. We definitely want them to produce high quality product which meet the standards.
