Here are the details that need to be included in the agreement.
I am looking to prepare an agreement/ contract between myself and a partner, A and a specialist Italian outfitters/shopfitters based in Italy, B. We need to be able to operate under B's unbrella because they are well established in this business in their home market and we need to use their brand to secure customers.
We are in effect their representatives in the specified markets.
B is a bespoke design and fit-out specialist for residential, commercial- restaurants, offices, bars, hotels, etc.
B is a one-stop outfitting specialist that designs, makes and fits.
They have extensive experience in this trade and have international experience.
A has extensive contacts in this field with architects, developers, main contractors, and property professionals and intends to use these contacts to introduce new business to B.
B will be entirely responsible for preparing all designs costings tenders marketing mateial etc and A will use all endeavors to help B secure new business in the specified markets.
In consideration for A's efforts B agrees to pay a commission ( the exact amount is to be agreed between the parties, before A submits his estimate/tenders for any works to the new customer) The price submitted by B will include A's commission and this will be paid to A on the same terms as per the agreement between B and the customer introduced by A. ( 33% of the agreed value of the contract price with order, 33% at the commencement of manufacture and 34% after inspection by the customer of the physical project assembled at B's factory in Italy). Any new or additional business introduced/negotiated with B and the new customer directly or indirectly, or through associates of A's contacts in the UK, UAE or Singapore, will attract a commission for A.
Commissions are due and must be paid within 7 days after contracts are signed and an invoice submitted to B by A.
The law governing the agreement is English Law.(Do we need to make reference to the treaty of Rome)
The agreement should be for 12 months and should be extendable.
Residual commissions are to be paid on all future business transacted with A's initial customers or agents of those customers or their affiliates.
Please feel free to add any further elements to the agreement that would improve an enhance it.
We want a watertight agreement that would offer A as much protection as possible.
Only experienced professionals with a verifiable track record, who have drafted such agreements need apply.
