Course Provider Agreement and a Standard E-Commerce T&Cs

We are forming a LLP to provide distance eLearning self-paced courses and we're seeking for a fee proposal to prepare the following documents:

(i) the Template Course Provider Agreement for use with providers supplying course content to be made available on our online education platform (website being developed); and
(ii) the Standard E-Commerce T&Cs (B2C) for use with end-user customers who purchase online courses on our platform.

The Course Provider Agreement should be relatively generic, as we intend to use this for different kinds of providers (private individuals, academic institutions etc.). The Course Provider Agreement should also take into account key elements like intellectual property rights, royalty provisions, licensing provisions, liability and indemnity provisions etc.
