Change in company ownership legal documents

I would like all relevant legal documents drafted for a transfer of shares from the existing two shareholders(holding 1 share each) to a single new shareholder. One of the existing shareholders is also the sole director of the company and the company secretary. He is resigning from both positions on the same date and the new shareholder will be appointed as the new director only with no secretary. In summary, the company is being transferred from one person to another one without any consideration.
