Business Sale Contracted (LAYMENS ENGLISH)

Hi there,
I am representing two people who own natural medicine doctors practise 50/50.
One is buying the other out 100%.
Heads of terms have been reached.
It is a very simple sale with 100% of monies transferred on day one, full ownership of the business assets/liabilities will be transferred.
There is a 1 year grace period for the departing partner to slowly migrate the patients they already see out of the old practice and into the new.

I'm looking for someone to draft a basic SPA document that it NOT written in legalese, and instead written in laymen's English.

I'm not expecting something more than a few pages and accept it won't be a 100% watertight agreement.

The partnership practise is a USA based company.
The first draft needs to be completed in 4 days time.
I aim to award this project within 36 hours.
You can be from anywhere in the world but must have legal and/or business sale experience.
