Bespoke Website T & C's/IP Assignment Needed

I have a website that deals with third party merchants, which consumers purchase products through my website and the third party merchant send the goods on my behalf, they then will be paid via BACS every 2 weeks.

I have been advised that the best way is, that I set out terms under which merchants can sell product via your site and the terms under which users can use your site. These will set out the principles that a merchant must follow re quality, communication and returns, payments etc. When an order is placed the user will enter a contract direct with the merchant.

I will also require general website terms of use

I also have third parties developing and designing on my behalf. These are not employees. So I will also need an IP assignment.

I will also need a non-disclosure agreement.

The elements are listed below that I require, 3, 4 and 5 are pretty standard:

1. Terms for engaging with suppliers using the website.
2. Terms for endusers purchasing from the website.
3. General website T&Cs
4. IP Assignment document
5. Non Disclosure Agreement
