We are seeking an experienced UK corporate solicitor, preferably with UK–India cross-border employment and tax experience, to prepare a tailored Phantom Share / Long-Term Incentive Plan for two key long-serving employees. **Company structure** We have a UK parent company and an operating/sister company in India. The two selected employees are employed and paid by the India company and have worked with our group for approximately 3–4 years. We want to reward their long-term contribution and retain them as the business grows. This is not an arrangement to issue actual shares in the UK parent company. Instead, we require a legally binding phantom-share arrangement under which each employee may receive a future cash benefit linked to the value, growth or exit value of the UK parent company. I am looking for someone to help me understand Facebook Ads - it is well known that the Meta landscape is a complete mess and I have spent a good while now clciking around and watching videos but nothing is setting in. I need to get running ads asap. I would like to screenshare using AnyDesk (very simple to use) - and basically ask you questions. We can screen share on your screen and you can show me and we can screen share on my screen where I can ask questions. I can build websites no problem, but Meta/FB layout is just absolutely a waste of space. I have created over the past few years, a feature length film script that discusses how the church attacked the race, religion and name of the person whom we call "Jesus." (His real name is “Y’shua”). There is a 3-D animation team in India waiting to animate the 64 characters with speaking parts in 151 scenes. To give you a quick flavor, there is a scene where someone is trying to identify Y’shua in a crowd and all he has to go on are the two most famous pictures we have today in the 20th century, “The Sacred Heart of Jesus," and “Head of Christ." He accidentally walks up to Y’shua, asking Him if he knows who this person is in the pictures Y’shua does not realize that these are pictures reportedly to be of Him. The person in these two pictures appears to be a foreigner. Y’shua thinks the man with the pictures is from Immigration, trying to deport the European-looking foreigner in the picture. That's an example of how Y’shua is depicted in today's churches as racially looking like a northern European rather than a Mediterranean. The problem with this script is that it's so complicated and it's hard to know what the runtime would be. It's hard to evaluate whether the set-ups for the jokes are too lengthy for the payoff. It's hard to know when the pacing of the film lags. It's hard to know when I have taken too much for granted in terms of the audience’s historical understanding – – and so it's hard for me to know whether I need to explain more or explain less. So I need organizational help, as a minimum. I need someone who has an eye for comedy. I need someone who is not put off by the explorations of racism, misogyny, and blasphemy that the film delves into in depth. I need someone who can tolerate my long-winded background explanations of my motivations behind the scenes so that you can understand what my intent is. I know that I'm asking a lot.

Need Legal Advice from a Barrister through a Solicitor
Hi, I am on a very tight budget and am based in the UK. In brief, I am seeking to work within a regulated profession of a medical nature, but I would first need to know whether any of the relevant regulatory bodies would permit me to register on my credentials. I have a foreign degree which I hope should be accepted but I want to prepare in the off-chance that my credentials are challenged. I have prepared a legal document setting out my identity and circumstances. It is, I believe, clear and thorough, and I do not think many changes , if any, will be required. Ideally, I should like to obtain legal advice from a barrister. I am familiar with the direct-access scheme and have used it before, but in this case it is proving very limited. I am struggling to identify barristers with the specific expertise required in this niche area of law. To date I have found only one, but he is not direct-access qualified. What I therefore need is a solicitor (or paralegal) who can identify and instruct the right barrister. The solicitor’s role would be, in essence, limited to that task, as the 'case' is already prepared. However, it is essential that the barrister instructed has genuine experience of cases of this type, and not merely a general background in medical negligence (which I find is far too common among the barristers I am trying to find), since negligence is not in issue here. I must apologise, but I am working within a very limited budget and am anxious to keep the solicitor’s costs as low as possible. To be clear, I am, of course, content to meet the barrister’s fees — they are not inexpensive, and I fully accept that, but the solicitor’s costs must be kept within a reasonable figure. I quite understand that no one can be expected to work without proper remuneration, but I am reluctant to spend £700-£1500 merely for the purpose of instructing counsel.

Overview We are seeking an experienced and qualified Internal Quality Assurer (IQA) on a freelance basis to support the delivery, monitoring, and continuous improvement of our TEFL (Teaching English as a Foreign Language) programme, which is in the process of gaining accreditation with TQUK (Training Qualifications UK). The IQA will play a key role in ensuring assessment decisions are valid, reliable, consistent, and compliant with regulatory and awarding body standards. Key Responsibilities Quality Assurance of Assessment Sample and review assessment decisions to confirm validity, reliability, and fairness. Provide constructive feedback to assessors to support consistency and improvement. Ensure standardisation across all assessors and delivery staff. Compliance & Standards Monitor delivery and assessment in line with TQUK policies, procedures, and requirements. Maintain accurate IQA records, sampling plans, and monitoring reports. Identify and report any risks to quality or compliance, recommending corrective actions. Support & Development Provide guidance and CPD support to assessors and tutors. Lead or contribute to standardisation meetings. Support the programme team in preparing evidence for TQUK external quality assurance (EQA) visits. Continuous Improvement Review assessment and delivery materials for clarity, fairness, and alignment with learning outcomes. Recommend improvements to programme design, assessment strategy, and learner support. Requirements Recognised IQA qualification (e.g., Level 4 Award in the Internal Quality Assurance of Assessment Processes and Practice). Experience in assuring quality of vocational or regulated qualifications, ideally within TEFL, TESOL, or education sectors. Strong knowledge of TQUK or other awarding body requirements. Excellent communication, feedback, and report-writing skills. Ability to work independently, remotely, and to agreed deadlines. Commitment to maintaining high standards of learner achievement and programme credibility. Desirable Teaching qualification (e.g., PGCE, CELTA, DELTA, or equivalent). Experience working on TEFL/TESOL programmes. Familiarity with online/blended learning assessment environments. Contract & Payment Freelance, project-based engagement aligned with TQUK accreditation requirements. Flexible working hours, primarily remote.
