My name is Margaret Moon and I’m a lawyer, but instead of just practicing law, I law run a virtual micro legal consulting firm where I work with technology start-ups around the world as a legal consultant to:
(1) ensure they're properly set up to provide legal protection for the business's owner(s) (i.e. you)
(2) establish exclusive & enforceable intellectual property rights in the source code of their software, apps and other intellectual property
(3) prepare for and actually get investors or a new business partner
I particularly focus on helping business who have (1) e-commerce platforms, other (2) Software-as-a-Service (SaaS), Infrastructure-as-a-Service (IaaS) or Platform-as-a-Service (PaaS) solutions, and (3) related mobile applications.
-Revised a client's Employment Agreement and hiring practices to make sure his company would own all rights to the source code and other deliverables produced by the developers and other employees he hired to build his e-commerce platform. We then successfully set up an Employee Stock Option Plan so he could issue non-voting stock to his best employees in order to promote employee loyalty without giving up any control over his company.
-Helped a French software company write their Pitch Deck, Offering Memo, Private Placement Memorandum and Subscription Agreement so they could target British and American investors and that these investors would understand the financial value of their intellectual property. As part of that process, I also helped them make sure the terms of their offering met EU, UK and US regulations. They were ultimately successful in raising just over $225K from their target investors in that round of financing.
-Updated a client’s Platform-as-as-Service Agreement to not only make sure he was protected in case something went wrong, but to make it look and feel like an exclusive agreement so he could target large, well-known corporations. I then helped him negotiate and execute several annual subscription agreements with corporate clients, which will bring in $115,200 in revenues over the next year.
