Hi Chris, I worked or was a director of a company in ghana on paper. I signed over any shares earlier this year and left ghana over the summer stating over WhatsApp and agreeing with the two shareholders and other directors that I would leave. I just realised that I didn’t sent an official resignation letter as a director. Is that necessary now? I just want to be legally covered.
It was a unique set up. The company land is owned by shareholder/director A and not invested into the company, the loan to Bild and furniture was taken out personally but for the purpose by shareholder/director B. I wad shareholder and director C and invested my expertise to design. We did not end up working well together and due to different circumstances I signed over my shares the beginning of the year and helped set up without shares and without pay. Which was no issue and I did it as a favour.
I now left a few months ago which was mutually agreed (a few other issues not worth mentioning where my local lawyer believes I have been „screwed over“. )
Either way. I remember having signed papers as a director e.g name changes etc. I am not a secretary but I am listed or was listed as a director on the bank registration form I believe.

I don’t know , since we didn’t ever have a signed contract since they refused to sign, there is no shareholding agreement and I am not a shareholder, I don’t know how valid the directorship even is.
But I would like to be safe since I have no insight or knowledge of anything happening I don’t want to be liable for anything.
It was a limited company.

Thank you!
