Description of legal work: I need a Non-disclosure/Non-use/Non-circumvention agreement for use with our manufacturers and potential suppliers in China. The product is a garden product. It needs to be written with reference to Chinese law (and court system) and at a minimum provide us with protection from the following 3 angles:
1. Prevent the distribution of our IP to 3rd parties.
2. Prevent a supplier from using our IP for any purpose other than manufacturing the product in question for us (and only us).
3. Prevent a supplier from selling direct to our clients.
It will need to be written in English and Chinese and we will need to be able to make slight edits (such as changing the suppliers name in English and Chinese) so we can re-use the document (for the same product) but for different suppliers.
