Legal advise on Shareholder meeting and Directors termination advice

Hi there

I am a director of a small company. I had to terminate one of the other directors because of his dishonesty, i obviously was able to do this being a major share holder.

I would like to seek advise on the appeal he has made. Also I would like to hold an annual share holders meeting in couple of weeks time, hence would be requiring advise on this too.

Please note that I am thinking of seeking advise only (there is no drafting of documents involved i guess), hence work for me can also be done over the phone/email or you can visit me at work. I mention all this because i will not be able to pay very high hourly prices. Even fixed work charges are welcome.
