I am looking for someone who can help me with my start up, i want to create a website here in London so i need someone who know the English Law.
1. Company Incorporation:
(a) Taking your instructions re: the company name and registered office, the directors’ and their personal information, and the shareholder details.
(b) Applying for the incorporation of the new company at Companies House.
(c) Appointing the directors for the company (and if applicable, any company secretary).
(d) Issuing each shareholder with a share in the new company, and providing share certificates.
2. Terms and Conditions for Membership:
(a) Taking your detailed instructions in relation to the terms and conditions for the membership of the proposed restaurant discount service (the “Membership T&Cs”).
(b) Drafting the Membership T&Cs to specifically include, in addition to the general terms: (i) the term of the membership (ii) the right of withdrawal of membership (iii) specific consumer rights including digital membership and (iv) the rights of participating restaurants.
(c) Providing the draft Membership T&Cs for your review, taking your instructions on any amendments, incorporating those changes (limited to two (2) ‘rounds’ of amendments) and finalising the same.
3. Terms and Conditions for the Participating Restaurants:
(a) Taking your detailed instructions on the terms and conditions that will govern the relationship with the participating restaurants (the “Restaurant T&Cs”).
(b) Drafting the Restaurant T&Cs to specifically include, in addition to the general terms: (i) the term of the participation (ii) the rights held by the participating restaurants (iii) the requirements of the participating restaurants in relation to discounts and (iv) the rights of withdrawal from participation.
(c) Drafting a restaurant-specific cover note to set out the key terms of the participation, which will be completed and sent to each restaurant, enclosing the Restaurant T&Cs (the “Cover Note”)
(d) Providing the Restaurant T&Cs and Cover Note for your review, taking your instructions on any amendments, incorporating those changes (limited to two (2) ‘rounds’ of amendments), and then finalising the Restaurant T&Cs and Cover Note.
4. Privacy Policy:
(a) Discussing with you what personal data you intend to collect, how you intend to use it, how it is retained and any potential erasure process(es) you intend to implement.
(b) Based on the above discussion, drafting a Privacy Policy which will be uploaded to the company’s website (once it is completed).
(c) Providing the draft Privacy Policy for your review, taking your instructions on any amendments, incorporating any changes (again, limited to two (2) sets of changes, and finalising the Privacy Policy.
