Description
Experience Level: Expert
I'm re-posting this job because I previously failed to mention that I am based in Scotland and so the lawyer I hire must also live in Scotland or fully conversant with Scottish law. My apologies for this oversight.
I need a legal expert to help me prepare a professional and legally watertight document. I have made a start on drafting my t&cs but need a standard writing services agreement, and as far as possible I'd like to keep it simple and not too 'dry' (three pages or fewer). Also, I will be offering my services worldwide - the joys of technology! - so the T&Cs will need to be relevant to an international clientele.
To include the following:
governing law of UK, me (my company) and the customer properly designated, scoping the licence of my IP (I guess if it is used in different mediums I could claim extra fees), copyright, subsidiary rights, usage, distribution, indemnity, client confidentiality, force majeure (e.g., flu) stopping me working.
Will also need to check whether someone else hasn’t already got a UK registered trade mark for my business name. I've attached very rough draft terms & conditions that I drafted but there's lots of question marks!
