Title:Review/Amendment of Deed of Assignment of Intelectual Property for Software Development Project

Nearly a year into a software development project, the client has prepared legal documents to cover IP/copyright issues for the software that has been developed and for future work to the software.
I am effectively a sub-sub-contractor and have written most of the code for the software to date.
The software however uses:
- Third party libraries/"object code" i.e. software developed by other people (mostly open source libraries)
- My own libraries/"object code" i.e. software that I developed separately from the current project but not exclusively for the current project that I would like to retain the rights to. However, some of this code has in fact been updated/modified as a result of working on this project.
- Code that I have written 'inspired' by the public API of other third-party commercial products where similar functionality was required in the current project.
The deed of assignment of IP document I have been asked to sign implies that I will be assigning the rights of all of this software - both source code and object code to the assignee. In addition, it asks me to warrant that I am the sole legal and beneficial owner of the rights and that they are original works etc. etc.
I would like a qualified person to review the document before I agree and sign them and/or make the necessary amendments based upon my desired position in terms of rights I'd like to retain and that I don't unknowingly falsly warrant or indemnify anything. Also, to make sure the document is fair and balanced for both myself and the other parties.
I will provide the full document to the winning bidder for review/amendment/discussion. It is an 8 page document including cover page and table of contents. It has sections for: Agreed Terms, Assignment, Warranties, Indemnity, Moral Rights etc.
The governing law and jurisdiction is that of England and Wales so experience in this jurisdiction is a must.
