Need a Legal/Accounting Contract Written

Me and my partner set up a limited company with a 50% share each.

I want to lower my share in return I will not be required to invest any more money into the company but I will still receive a share of the profit.

The other thing is that we have both been paying expenses but from our personal bank accounts not the company. So technically the company has not paid for anything. If he has control of the company does that mean he can choose what expenses are added?

I need a contract written as soon as possible. We set up everything in a rush because of excitement and forgot to the important things like this.

I am not to sure if I need an accountant or legal advisor/solicitor/lawyer or both.

I need someone who is on my side and will help me and my business partner have a fair deal for both of us.
