Job Description

My Partner (also a director) is leaving the company and will be transferring all his shares to myself. He is asking for a termination agreement for the Shareholder's Agreement we have in place.

Obviously, he was to disclaim all future responsability as a shareholder and director, but I would like to know if certain clauses could be made to stand, such as the non-compete clauses and whether it would be advisable to include a clause that prevents future suing of the company, and any other factor I might be overlooking.
I need an agreement which is simple and fairly short and cleverly drafted so it appears as fair and not draconian (yet does the job of protecting the company).
