Title:Contract needed between client and our company

New Remittance price comparison website needs a solicitor to form a contract for us and the companies we include in our website and have an agreement with. We are seeking a Solicitor who has experience in forming legally binding agreements and contracts for price comparison websites. the information provided below is not complete they may be more and/or changes made during the formation. in addition we expect the solicitor to not only form the contract but to provide advice regarding that contract where necessary.
the contract should include:
the basic agreement outlining that we receive 30% of the commission the company charges to send money in return for the services of including them in our price comparison website and diverting the customer to the companies website and/or payment page. for example if the company sends the money of customers for $10 per every $100 sent than we will receive $3 dollars of that commission and they would keep the $7 earned. Mention that we do not earn any profit unless the customer actually sends money through the company.
the freedom of our price comparison website to decrease that 30% commission we have earned in order to fluctuate prices and bring exclusive commission rates to our customers. it should also state that we insure fairness and that if we decrease our 30% it will be for all companies in the same amount at the same time unless we offer a sales package equally and fairly to all the companies who are advertised in our price comparison website that includes the decreasing of our 30%. for example if we offer a package of free advertisement along with decreasing our30% in return for a certain amount of fixed fee.
The contract should also mention that once a company accepts our terms of agreements this legally binds the company not to enter into such a contract with any other price comparison website that compares remittance companies for a period of a full year in which the contract exists starting from the date the contract was signed. mention the reason being that because we are the first commercial price comparison website that compares Remittance companies and because we are new to the price comparison market that is dominated by big businesses, we have to protect our website.
Because the customer is diverted to the company through our website once diverted it he/she must be diverted straight to the payment page with no change in pricing. in addition unlike websites that compare insurance companies, our customers will be frequent and thus is illogical to force them to make an account before they are able to send money. all the information necessary would be provided on our end including the senders information and receivers information and the customer will give their bank details once they are diverted to the payment page thus ensuring the unproblematic and easy way to send money through our site.
the contract should include a disclaimer, that we cannot be held responsible for a customer we divert and/or liable to the company for any reason regarding the actions of a customer once diverted to the companies website because we simply compare companies and divert customers
In addition will also need a robust set of terms and conditions for the users of the website along with a privacy policy that will require you to research the way in which site is developed and the technologies used therein. This is necessary in order to make sure that we are compliant with the recent legislation relating to the use of cookies, etc.
